Terms and Conditions

            Please read the terms and conditions of this Agreement carefully. When you select "I accept", "I agree", "OK", "Continue", "Yes", or install or use or authorize the use of this software in any way, it means that you have fully understand and accept the terms of this Agreement. Please be sure to carefully read and fully understand the terms of this Agreement, especially the terms that exempt or limit liability. Limitations and exemptions may be highlighted in bold to remind you of these terms. If you do not agree to these Terms and Conditions, please do not click "I Accept," "I Agree," "OK," "Continue," "Yes," etc. or install or use the Software in any manner.

            You legally agree to the binding rules of these terms. You also agree to our Privacy Policy, Cookie Policy, Payment Verification Policy, and agree that you are responsible for compliance with any applicable local laws applicable to your use of HelpLook's Privacy Policy, Payment Policy, and other policies made a part of this Agreement by reference. We may change these terms from time to time. If we do this, we will notify you of any significant changes by notifying you on the website or sending you an email. New versions of these terms will never apply retroactively and we will tell you the exact effective date of the new version of the Terms. If you continue to use HelpLook after the changes, you accept the new terms. We reserve any and all rights not expressly granted in this Agreement, including without limitation any and all rights in the System.
            Violation of any of the following terms will result in termination of your account. You agree that use of the HelpLook software is at your own risk.

            1.Account Terms
            You must be at least 18 years old to register for a HelpLook account, or old enough to form a binding contract where you are. If you are under 18 years of age, you may not use the HelpLook software without the consent of your parent or guardian.

            You need to register to use HelpLook, choose an account name and set a password. Your information will be collected and disclosed in accordance with applicable data protection laws and our Privacy Policy. All users are required to provide true and accurate information when registering for our website or services, please do not use an invalid or someone else's email as this will reduce the security of your account.

            We reserve the right to verify all user information and reject any user. You are responsible for all activity on your account and for maintaining the confidentiality of your password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. HelpLook is not responsible for any losses you incur as a result of someone else using your password or account, with or without your knowledge. If you discover that someone has used your account without your permission, you should report it to support@helplook.cn.

            You may not use the HelpLook software for any illegal or unauthorized purpose. Your use of the software shall not violate any laws and legal provisions of your jurisdiction.

            2.Prohibited Actions
            You shall abide by the provisions of any applicable laws and regulations, and shall not use HelpLook's services and accounts to conduct behaviors including but not limited to the following, nor shall you facilitate the following behaviors:

            (1)Endangering national security, leaking national secrets, subverting national power, undermining national unity, and damaging national honor and interests;
            (2)Propagating cults and feudal superstitions;
            (3)Spread rumors, disrupt social order, and undermine social stability;
            (4)Spread obscenity, pornography, gambling, violence, murder, terror, harassment, vulgarity or incite crime;
            (5)Insulting or slandering others and infringing upon others' legitimate rights and interests;
            (6)Infringement of others’ intellectual property rights, trade secrets and other legal rights;
            (7)Fabricating facts and concealing the truth to mislead or deceive others;
            (8)Carrying out illegal Internet activities such as betting and gambling games;
            (9)Other behaviors that violate public order and good morals or are prohibited by laws and regulations.

            You promise that you will not use any type of software or device (whether manual or automated) to "crawl" or "spider" any part of HelpLook, nor to disassemble or reverse engineer any content of HelpLook .

            You understand and agree that if you commit any of the prohibited acts in this Agreement, or use the HelpLook software and services for any illegal or unauthorized purpose, or engage in other violations of this Agreement, HelpLook shall have the right to take reasonable action against the violation in its reasonable judgment. You shall be punished for acts stipulated in relevant laws and regulations or this Agreement, take appropriate legal actions against any user who violates laws and regulations, and preserve relevant information and report to relevant departments in accordance with laws and regulations. You shall bear all legal responsibilities arising therefrom.

            You understand and agree that you shall be solely responsible for any claims, demands or losses caused or incurred by a third party due to your violation of the provisions of this Agreement or relevant terms of service; if HelpLook suffers losses as a result, you shall also compensate HelpLook. If HelpLook has previously assumed relevant responsibilities due to effective judgments, awards, etc., HelpLook has the right to recover full compensation from you.

            3.Fee Terms
            Please visit our payment policy page for prices and latest offers on all our services. Some features of HelpLook are free, and some features are only available for a fee. If you agree to our payment policy and order related features, you commit to paying for the relevant features. Prices for all Services (including, but not limited to, monthly subscription plan fees for Software) are subject to change.

            We reserve the right at any time or from time to time to change or discontinue the Service (or any part thereof) without notice. HelpLook shall not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Service.

            4.Refund Policy
            HelpLook offers pre-loaded subscription packages, and we are unable to provide refunds for any paid services. Please note that all payments are final. No refunds or credits will be given for partial months of service, upgrade/downgrade refunds or unused months for which the account was opened. In order to treat everyone equally, there will be no exceptions.
            5.Terms and Termination
            this Agreement will begin upon your acceptance of these Terms of Use and will continue indefinitely until terminated by either party. HelpLook reserves the right to suspend or terminate your account at any time due to the provisions of this Agreement or legal provisions. Such termination of the service will result in the deactivation or deletion of your account or your access to the account, as well as the forfeiture and abandonment of all content in the account. . HelpLook reserves the right to refuse service to anyone at any time.

            We may modify, restrict, suspend or terminate your access to or use of our Services at any time in our sole discretion, particularly if you violate the terms of the Agreement or the law or create harm, risk or possible legal exposure to us, our users or others. Upon termination, your right to use the Services will terminate immediately. If you wish to terminate your account, you may simply stop using the Service.

            We may also, in our sole discretion, partially restrict your use of the Services. In particular, this includes our right to ban you from accessing our technical support, particularly if you abuse our support.

            6.Intellectual Property Rights
            All content, design, text, diagrams, images, logos, buttons, icons, interfaces, audio and video, and all permutations and combinations of the above content in HelpLook software or products are the exclusive property of HelpLook or its corresponding content providers, Protected by applicable copyright laws. The software and all software used on the website is the property of HelpLook or its respective software suppliers and is protected by applicable copyright laws and other relevant laws and treaties. Software users are not allowed to send/upload any content that infringes the copyright or other intellectual property rights of others to this website.

            All trademarks, service marks and trade names (collectively "Marks") used by HelpLook software or products are exclusive to HelpLook. These logos may not be used on any non-HelpLook products or services, or any other products or services that cause confusion among consumers, or in any way disparage or discredit HelpLook.
            7.Confidentiality and Feedback
            We value your privacy and our Privacy Policy has been posted accordingly, please review our Privacy Policy so you can understand our privacy practices. All information we collect is subject to our Privacy Policy, and by using the Site or Services, you consent to all actions we take with respect to your information in accordance with the Privacy Policy.

            You agree to keep Confidential Information confidential and not to use it to perform this Agreement, nor to disclose HelpLook Confidential Information to third parties that you become aware of. To the extent you provide us with any suggestions, information, ideas or feedback regarding any HelpLook Software or Services, including without limitation documentation of any errors you discover while using the Software or related Services ("Feedback"), this Class Feedback will become the property of the Company. You agree to assign to HelpLook all right, title and interest in and to the Feedback and related intellectual property rights throughout the world and agree to assist us in perfecting and enforcing those rights.
            We recommend that you back up your data frequently. It should always be your responsibility to mitigate your losses. This software is not fault-tolerant, nor is it designed or intended to be used in any hazardous environment requiring assurance of safe performance or operation. HelpLook does not guarantee that the website or products containing the Services will be error-free or uninterrupted, or that the website or services or servers are free of any harmful components. HelpLook makes no representations or warranties that the services provided are accurate, complete or useful. HelpLook does not warrant that your use of the Site or Services is legal in any particular jurisdiction, and we specifically disclaim any such warranty.

            We will not get involved in disputes between users or between users and any third party regarding the use of the service. When you use the Services, you release HelpLook from any claims and demands (known or unknown, suspected or unexpected, disclosed or undisclosed) related to such disputes and the Services. You are solely responsible for any consequences arising from your use of the HelpLook website or services, and you are solely responsible for any damage or loss caused to any party due to your actions.

            Anyone using, testing or evaluating HelpLook assumes the entire risk as to the quality and performance of HelpLook. We will not be liable for any damages of any kind, including, but not limited to, direct or indirect damages arising out of the use, performance or delivery of HelpLook, even if HelpLook has been advised of the existence or possibility of such damage.

            Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event will our liability exceed the purchase price paid by you for HelpLook. The above disclaimers and limitations apply regardless of whether you accept to use, evaluate, or test HelpLook.
            9.Third-party Services
            Our Service may contain links to other websites, applications, content, products and services operated by unrelated companies and individuals ("Third-Party Websites"). These links are for your information only. The inclusion of any link to a third-party website on the Services does not imply that we accept any responsibility for that third-party website, its content or use, or the use of any features, products and/or services offered through such third-party website website.

            We have no control over Third Party Websites or any information or materials contained therein, and do not investigate, monitor or check any Third Party Websites for accuracy, completeness or compliance with applicable laws or regulations. We are not responsible for any harm caused or caused by your use of or reliance on third-party websites or any information or materials contained therein. Your access to and use of third-party websites is at your own risk. You are responsible for reviewing the terms and conditions and privacy policy of each website you visit.
